BOARD JOB DESCRIPTIONS

All Board Positions Time Commitment is Ten hours per month (board meetings, meetings with the Executive Director, committee meetings)

Committee Positions is 5 hours per month.

Term of Office is Two years with the possibility of renewal for a second term.

Ad Hov Committee position terms dissolves when the committee does.

Executive Committee Positions 

Secretary fostering communication and diligence through proper management and utilization of important records such as meeting minutes and the organization’s bylaws. The secretary position has wide-ranging responsibilities, requiring much more than simply being present at all board meetings. He or she is an active conduit for communication by giving proper notice of any meetings and timely distribution of materials such as agendas and meeting minutes. Additionally, the secretary should be knowledgeable of the organization’s records and related materials, providing advice and resources to the board on topics such as governance issues, amendments to the state laws, and the like, that will assist them in fulfilling their fiduciary duties. As the custodian of the organization’s records, the secretary is responsible for maintaining accurate documentation and meeting any legal requirements such as annual filing deadlines. The secretary is responsible for reviewing and updating documents as necessary and ensuring all documents are safely stored and readily accessible. The Secretary is accountable to the Board of Directors (if elected or appointed by them) or Members. (If elected by the membership at a members meeting) as specified in the bylaws. Through the Board of Directors, certain duties of the Secretary may be delegated to the Executive Director, Board members and/or committees as appropriate; however, the accountability for them remains with the Secretary.

 

Treasurer  will offer guidance to the Executive Director and financial officer in ensuring good fiscal planning, decision-making and oversight at a governance level. His/her principle duties are to: • Oversee the development of high level financial policies and their review by the board • Assist in the preparation of the annual budget and its presentation to the board for review • Ensure that the appropriate monthly or quarterly financial statements are reviewed by the board • Ensure that the board regularly monitors the organization’s financial performance and alerts it to any important discrepancies between planned and actual figures • Ensure that the organization maintains the appropriate financial books and records and that these are accurate and up-to-date • Ensure that government tax filings and remittances are submitted on a timely basis • Ensure that payroll and other liabilities are settled in a timely manner • Serve as a co-signer of cheques with at least one other signing officer • Ensure that excess funds and reserves are properly held and invested • Verify that donations are handled appropriately and that grants and service delivery contracts are accounted for in accordance with the requirements of funders.

 Accountability The board treasurer is an executive and voting member of the board of directors of the Association and appointed in a manner consistent with the bylaws. He/she is accountable to the Board for the fulfillment of the duties and responsibilities outlined below

Board Chair and Member's Positions

  1. Board Chair Positions • Is a member of the Board

  2. Serves as the Chief Volunteer of the organization Is a partner with the Chief Executive in achieving the organization's mission

  3. Provides leadership to the Board of Directors, who sets policy and to whom the Chief Executive is accountable 

  4. Chairs meetings of the Board after developing the agenda with the Chief Executive • 

  5. Encourages Board's role in strategic planning

  6. Appoints the chairpersons of committees, in consultation with other Board members.

  7. Serves ex officio as a member of committees and attends their meetings when invited.

  8. Discusses issues confronting the organization with the Chief Executive.

  9. Helps guide and mediate Board actions with respect to organizational priorities and governance concerns • Reviews with the Chief Executive any issues of concern to the Board

  10. Monitors financial planning and financial reports 

  11. Plays a leading role in fundraising activities 

  12. Formally evaluates the performance of the Chief Executive and informally evaluates the effectiveness of the Board members 

  13. Evaluates annually the performance of the organization in achieving its mission.

Board Member Positions

Each individual board member is expected to

  1. know the organization’s mission, policies, programs, and needs

  2. faithfully read and understand the organization’s financial statements

  3. serve as active advocates and ambassadors for the organization and fully engage in identifying and securing the financial resources and partnerships necessary for the organization to advance its mission

  4. leverage connections, networks, and resources to develop collective action to fully achieve the organization’s mission

  5. give a meaningful personal financial donation

  6. help identify personal connections that can benefit the organization’s fundraising and reputable standing, and can influence public policy

  7. prepare for, attend, and conscientiously participate in board meetings

  8. participate fully in one or more committees

Committee Chair and Member's Positions

Committee Chair Positions  Is a member of the Board

  1. Sets tone for the committee work.

  2. Ensures that members have the information needed to do their jobs.

  3. Oversees the logistics of committee's operations.

  4. Reports to the Board's Chair.

  5. Reports to the full Board on committee's decisions/recommendations.

  6. Works closely with the Chief Executive and other staff as agreed to by the Chief Executive.

  7. Assigns work to the committee members, sets the agenda and runs the meetings, and ensures distribution of meeting minutes.

  8. Initiates and leads the committee's annual evaluation.

Committee Member Positions sames as board member resonsibilities execept Ad Hov short term committee and some committee members may not be a member of the board.
